TERMS AND CONDITIONS for making payments through ZIPHOUSE.UTM.MD

READ THESE TERMS AND CONDITIONS CAREFULLY!!! THEY CONTAIN IMPORTANT INFORMATION REGARDING THE USE OF THE ZIPHOUSE.UTM.MD SERVICE

1. Introduction

1.1. These Terms and Conditions apply to users who make payments through the ZIPHOUSE.UTM.MD service.

1.2. The ZIPHOUSE.UTM.MD service is established as an additional payment mechanism for services provided by the Technical University of Moldova using payment instruments available under the law.

1.3. The ZIPHOUSE.UTM.MD service acts as an intermediary information, financial, and contractual node between the service provider (hereinafter – UTM) and the payment service provider BC „Moldova Agroindbank” SA.

1.4. The Technical University of Moldova is the owner and operator of the ZIPHOUSE.UTM.MD service.

1.5. The beneficiary of the ZIPHOUSE.UTM.MD service is UTM.

1.6. Users of the ZIPHOUSE.UTM.MD service are all payers who make payments for certain services, fees, or taxes in favor of UTM. Users may be both individuals and legal entities, subject to the chosen payment method (see details below regarding payment methods).

1.7. The ZIPHOUSE.UTM.MD service was developed and extended for UTM as an integrated service that allows citizens and companies to make payments for UTM services, such as tuition fees, rent payments, issuance of documents/certificates, etc.

1.8. The ZIPHOUSE.UTM.MD service offers benefits to payers by providing them with freedom and convenience to choose any legally available payment method in the Republic of Moldova (credit/debit cards, internet banking).

1.9. These Terms and Conditions, as well as the content of the ZIPHOUSE.UTM.MD portal, are translated from Romanian. These are unofficial translations and are provided only as a convenience. Therefore, they should be interpreted in accordance with the Romanian language versions, which prevail in the event of any discrepancy between the Romanian version and the translation (English or Russian).

2. Acceptance of Terms and Conditions

2.1. By making a payment through the ZIPHOUSE.UTM.MD service, it shall be treated as acceptance of these Terms and Conditions, as well as consent to the processing, handling, and storage of personal data in accordance with Law No. 133 of 08.07.2011 on the protection of personal data for the purpose of making a payment, and may be challenged in the manner established by law.

2.2. In the case of payments made through the ZIPHOUSE.UTM.MD portal, acceptance of these Terms and Conditions, as well as consent to the processing, handling, and storage of personal data, is carried out by the payer checking the consent box.

3. To access the ZIPHOUSE.UTM.MD portal, it is recommended to use the latest three versions of the most popular browsers (Chrome, Edge, Safari, Firefox). The portal can be accessed on both desktop and mobile devices (with iOS, Android, Windows operating systems).

4. Available payment methods in ZIPHOUSE.UTM.MD

4.1. Payment through the ZIPHOUSE.UTM.MD service can be made using the following methods: 4.1.1. By debit/credit card VISA or MasterCard (online).

4.2. It is exclusively the payer’s responsibility and right to choose the payment method. UTM, however, promotes electronic payments and encourages payers to use online payment methods.

Attention! The ZIPHOUSE.UTM.MD service does not offer payment by bank transfer (credit transfer). To use this method, the user will use the bank’s tools and the necessary bank details provided by UTM.

5. Payment method by debit/credit card VISA or MasterCard

5.1. Through the ZIPHOUSE.UTM.MD service, cards issued by Visa International Limited and MasterCard Inc. are accepted for processing through the acquiring centers of banks in the Republic of Moldova.

5.2. The payer agrees that the debit/credit card details provided by them must be correct and accurate and that they will not use a debit/credit card that is not legally owned by them or whose use is not authorized by the legal owner. The payer also agrees and undertakes to provide accurate and valid debit/credit card details.

5.3. The payer guarantees, agrees, and confirms when initiating an online payment transaction and providing the card details.

5.4. The payer authorizes the debit of the nominated card for the selected payment along with any applicable fees.

5.5. The payer is responsible for ensuring that there is sufficient credit available on the nominated card account at the time of payment to allow the payment transaction to be completed.

5.6. The bank card payment method involves redirection through secure channels to the acquiring banks’ portals and does not store sensitive data (such as open card details or cardholder). Only depersonalized card information is stored in the ZIPHOUSE.UTM.MD service (masked card number – first 6 and last 4 digits: X******XXXX). The ZIPHOUSE.UTM.MD service will not request or receive bank card details (PAN, CVC2/CVV2, Expiration Date); the client is redirected to the secure bank page for entering bank card details.

5.7. If an error occurs during the bank card transaction processing, the following causes and solutions apply:

• A temporary error occurred during payment processing caused by the connection between the ZIPHOUSE.UTM.MD service and the card transaction processing bank – Attention! In this case, the amount of this transaction may have been debited from your card. To resolve the issue, please contact customer support;

• The card is not activated for secure online transactions (e.g., 3D Secure) – Attention! In this case, the amount of this transaction was not debited from your card. To resolve the issue, please contact your card-issuing bank to ensure it is activated for such operations, set up a 3D Secure password for the card you use for online payments, or try to complete the payment with another activated card;

• The authorization data entered by you is invalid or incomplete – Attention! In this case, the amount of this transaction was not debited from your card. To resolve the issue, please enter valid and complete authorization data;

• Your card does not have sufficient financial resources to complete the payment transaction – Attention! In this case, the amount of this transaction was not debited from your card. To resolve the issue, please top up the required amount on your card account and repeat the payment operation or try to complete the payment with a card that has sufficient financial resources.

6. Payment settlement

6.1. Payment is made through the link received from UTM.

6.2. It is the sole responsibility of the payer to ensure that they have sufficient funds to pay the due invoice. If payment through the ZIPHOUSE.UTM.MD service is not available, the payer remains responsible for making timely payments in accordance with the terms provided by the legislation of the Republic of Moldova.

6.3. The paid amount is confirmed by the ZIPHOUSE.UTM.MD service through a document called “Payment Confirmation of the Invoice” signed electronically based on Law No. 91 of 29.05.2014 on electronic signature and electronic document. This document is legally valid and can be presented upon request to confirm the fact of payment and other details of the payment made by the payer.

7. Debiting and transfer of payments

7.1. Debiting and transfer of payments means the movement of financial resources to the destination accounts of UTM (payment beneficiary). Debiting and transfer of payments are carried out only on the basis of electronic confirmation from the payment service provider regarding the collection of the payment.

7.2. Debiting and transfer of payments to the destination occur daily according to the bank clearing order of the interbank automated payment system (hereinafter – SAPI) of the NBM, as follows:

• Payments made from 00:00 to 18:00 are debited and transferred to the destination accounts on the same day in the 18:30 clearing (starts at 18:00); • Payments made from 18:01 to 23:59 are debited and transferred to the destination accounts the next day in the 14:30 clearing (starts at 10:00).

7.3. In the case of public holidays and non-working days of SAPI, payments are debited and transferred on the immediately following working days.

7.4. In case the destination bank details indicated by the payment beneficiary are incorrect, the payments will be returned to the accounts of the payment service provider through which they were made. Re-debiting of these payments will be initiated after correction of the bank details.

7.5. Compliance with payment/obligation settlement terms is the sole responsibility of the payer (the subject of the obligation) unless otherwise provided by law.

8. Payer conduct

8.1. By using the ZIPHOUSE.UTM.MD service, the payer agrees not to upload, post, email, or otherwise transmit any material that contains viruses or other computer codes, files, or programs designed to interrupt, destroy, or limit the functionality of any software or hardware or telecommunications equipment associated with the ZIPHOUSE.UTM.MD service.

8.2. The payer also agrees not to interfere with servers or networks connected to the ZIPHOUSE.UTM.MD service or to violate any procedures, policies, or regulations of networks connected to the ZIPHOUSE.UTM.MD service, including but not limited to:

• pretending to be another person while using the ZIPHOUSE.UTM.MD service; • using the ZIPHOUSE.UTM.MD service for illegal purposes; • reselling or exporting payment services associated with the ZIPHOUSE.UTM.MD service.

8.3. To use the ZIPHOUSE.UTM.MD service, the payer may be required to provide certain information such as calendar dates, amounts, payer information, identification, contact details, etc., as part of the payment processing procedure. In case the entry of data necessary for payment processing is required, the responsibility for the accuracy of the entered information lies entirely with the payer.

8.4. In case of authentication on the ZIPHOUSE.UTM.MD portal, the user is responsible for maintaining the confidentiality of any associated authentication information. Accordingly, the user is responsible for all activities occurring under their account.

8.5. It is not recommended that the user transmit ZIPHOUSE.UTM.MD portal authentication information to any third party. Any such transmission is the sole responsibility of the user, who assumes all associated consequences.

9. Costs of using the service

9.1. Currently, UTM provides the ZIPHOUSE.UTM.MD service to payers (individuals) free of charge. The commission for these payments is fully borne by UTM.

10. Refund / cancellation policy: Refund of payments

10.1. Payments once made and transferred to the payment service provider cannot be refunded through the ZIPHOUSE.UTM.MD service, except in cases of cancellation. Refund of payments is the sole responsibility of UTM (the payment beneficiary), therefore any refund request must be addressed to UTM. UTM together with MAIB will establish the method of returning the funds, and the return will be made only to the card account used to make the payment order.

10.2. UTM may refuse the refund of payment due to applicable legal conditions. Particular cases of refund will be presented for each paid service requested by the payer.

Cancellation of payments 10.3. As a rule, payments made through the ZIPHOUSE.UTM.MD service are not subject to cancellation. Cancellation is not allowed in order not to facilitate fraud scenarios in which the payer, having the payment confirmation document, benefits from the service and then requests cancellation of the respective payment.

10.4. As an exception to this rule, UTM or the payer may request cancellation of payments made through the ZIPHOUSE.UTM.MD service in the following cases:

• obvious technical errors (duplications of payments, obviously exaggerated amounts, etc.); • inconsistencies in payment messages resulting from deviations from the agreed operational model (e.g., lack of confirmation from the payment service provider regarding the collection of the payment).

10.5. Payment cancellations can only be made during the period before the debit procedure is launched, at least 30 minutes in advance. When requesting cancellations of collected/refunded payments, the bank clearing order in SAPI (described in clause 7) will be taken into account.

10.6. For all payment cancellations, both UTM and the payer will request in writing (online or on paper) the cancellation of the payment. The bank/payment service provider will verify compliance with these conditions and authorize the cancellation of the payment.

10.7. In case of authorization of cancellation, the payment will be refunded to the payer by UTM in the case of bank card payment method.

11. Availability of the ZIPHOUSE.UTM.MD service

11.1. The ZIPHOUSE.UTM.MD service is available 7 days a week, continuously. The guaranteed period for the agreed level of service availability is 24 hours a day, subject to the availability of payment methods of the ZIPHOUSE.UTM.MD service. This time does not include maintenance work, which will generally be performed outside working hours except in cases of emergency or other unforeseen causes.

11.2. If the payment link or the payment service provider is not available at the time of access due to certain technical reasons, UTM recommends that users try any other method or try to make the payment later after the unavailability issues are resolved.

11.3. If the ZIPHOUSE.UTM.MD service is unavailable, please contact Customer Support (clause 14).

12. Disclaimer and limitation of liability

12.1. By using the ZIPHOUSE.UTM.MD service, the user understands and agrees that all resources provided by UTM are “as is” and “as available”. This means that UTM does not guarantee that:

• the use of ZIPHOUSE.UTM.MD service resources will satisfy all your needs or requirements; • the use of ZIPHOUSE.UTM.MD service resources will be uninterrupted, timely, secure, or error-free.

12.2. UTM does not accept liability for damages, losses, costs (including legal costs), indirect losses, or damages of any kind that may be suffered or incurred by the payer from using the ZIPHOUSE.UTM.MD service.

12.3. The ZIPHOUSE.UTM.MD service is a complementary service to the paid services provided. Therefore, any petition, complaint, or contestation regarding payment settlement must be sent to UTM, which in turn will involve partners in examining these petitions, complaints, contestations.

13. Applicable law and dispute resolution

13.1. These Terms and Conditions are governed by the legislation of the Republic of Moldova.

13.2. In case of any dispute or disagreement arising out of or in connection with these Terms and Conditions (including a dispute or disagreement regarding the validity of the Terms and Conditions), such disputes or disagreements shall be initiated and resolved in the courts of the Republic of Moldova.

14. Support and assistance

14.1. For assistance in paying ZIPHOUSE.UTM.MD invoices, or submitting a petition, contestation, or complaint, please contact Customer Support through the following channels:

14.2. In the case of requests sent by email, the ZIPHOUSE.UTM.MD support team will make every effort to provide responses within a maximum of 7 working days. If you do not receive a response within this period, most likely our operators are overloaded, and therefore we kindly ask you to return with a repeated message if your issue cannot be postponed, and our team will reprioritize your request.

14.3. To benefit from support in case of a defect or problem that has occurred, we recommend:

• notifying the ZIPHOUSE.UTM.MD team within a maximum of 180 days from the detection of the incident/problem; • sending all documents/requested documents subsequently by the ZIPHOUSE.UTM.MD support team.

15. Privacy

15.1. The ZIPHOUSE.UTM.MD service processes personal data exclusively for the purpose of ensuring payment processing. The processing of personal data is initiated at the payer’s request to make the payment by selecting the payment method and the payment service provider and indicating the payment identifier.

15.2. The following generic personal data are processed through the ZIPHOUSE.UTM.MD service:

• State identification number of the individual (IDNP); • Name and surname of the individual; • IP address in case of using the electronic payment method.

15.3. The above-mentioned personal data are collected in the ZIPHOUSE.UTM.MD service in two ways: directly from payers by entering them when creating the invoice on the UTM.Pay portal. Accordingly, the ZIPHOUSE.UTM.MD service transmits the above-mentioned personal data to the Bank. In this case, upon entering personal data and accepting the Terms and Conditions, the payer expresses consent to the processing of personal data by the ZIPHOUSE.UTM.MD service.

15.4. All payment details entered on the utm.pay.md portal are encrypted and secured to provide secure communications to and from the portal.

15.5. The ZIPHOUSE.UTM.MD service does not transmit personal data to other third parties, including for marketing purposes or for generating revenue from the use of personal data.

15.6. UTM guarantees compliance with the rights of personal data subjects provided by Law No. 133 of 08.07.2011 on the protection of personal data.

15.7. UTM is registered as a personal data operator (system of records with registration number 0000692), which can be verified on the portal registru.datepersonale.md.

16. Intellectual property rights

16.1. The content and materials available on the utm.pay.md portal, defined as including but not limited to text, graphics, site names, source code, images, and logos, are the intellectual property of UTM and are protected by applicable copyright and trademark legislation. Any improper use, including but not limited to reproduction, distribution, display, or transmission of any content from this portal is restricted unless expressly authorized by UTM, except when used by journalists and for promotional purposes of the ZIPHOUSE.UTM.MD service or for academic purposes.

17. Changes to the Terms and Conditions

17.1. UTM reserves the right to modify these Terms and Conditions, and the current version will be the one published on the utm.pay.md portal. It is the sole responsibility of the user to read the Terms and Conditions before using the ZIPHOUSE.UTM.MD service.
